These Terms govern all rights and obligations between you and VpsMesh. Using this service indicates that you have fully understood and unconditionally accepted all content herein.
Legally Binding Agreement: accessing this platform, registering an account, or using any service provided by VpsMesh in any manner constitutes your complete reading, full understanding, and unconditional acceptance of all content in these Terms of Service. If you object to any provision, please immediately cease using this service and deactivate your account.
These Terms of Service ("Terms") are established by VpsMesh Global and all its current and future affiliated entities (collectively "VpsMesh" or "we") and are binding on all individuals, businesses, and organizations accessing or using the VpsMesh Cloud Mac service through any channel.
These Terms, together with the Privacy Policy, Acceptable Use Policy (AUP), and other supplementary agreements published by VpsMesh, form a complete legal document system. In the event of a conflict, these Terms shall prevail, and VpsMesh retains final authority over the interpretation of all documents.
These Terms take effect from your first access to the platform. VpsMesh reserves the right to unilaterally modify any content of these Terms at any time. Revised Terms take effect for all users immediately upon publication, without requiring separate consent. Continued use of the service after a revision constitutes unconditional acceptance of all provisions in the revised Terms.
You must be an adult with full civil legal capacity (at least 18 years of age) to register and use this service. When registering on behalf of a business, the registrant must hold appropriate legal authorization. VpsMesh reserves the absolute right to refuse any registration application or terminate any account at any time, for any reason, regardless of whether payment has been completed.
You must ensure that all information provided throughout registration and use of the service is truthful, accurate, and complete. All legal consequences and losses arising from providing false information, impersonating another identity, or deceiving VpsMesh in any way are borne solely by the user. If VpsMesh terminates an account as a result, fees already paid will not be refunded, and VpsMesh reserves the right to pursue the user for all losses.
You bear full, indivisible legal responsibility for all actions taken under your account — regardless of whether they were carried out by you personally. You must:
Each natural person or legal entity is limited to one primary account. VpsMesh reserves the right to unilaterally identify, merge, or immediately terminate multiple accounts held by the same entity, and to treat multi-account behavior (including but not limited to circumventing bans or obtaining promotions) as a material breach. As a result, all associated accounts will be terminated with no refund of fees paid, and VpsMesh reserves the right to seek compensation from the user.
VpsMesh provides exclusive remote access to physical Apple Mac devices. VpsMesh retains ownership and ultimate management authority over all underlying physical infrastructure, network environment, and system-level configuration at all times. User use of the service does not affect these rights.
Right to adjust specifications: VpsMesh retains full right to modify, upgrade, downgrade, replace, or adjust service specifications in any manner it deems appropriate at any time, without any liability for compensation. For significant specification changes, VpsMesh will endeavor to notify in advance, but such notification obligation does not limit the right to make adjustments.
You must use VpsMesh services in a lawful and good-faith manner and bear full responsibility for ensuring that all usage complies with all applicable laws and regulations and the provisions of these Terms.
Upon discovery of any of the following activities, VpsMesh will immediately and without prior notice suspend or terminate service and forfeit all fees paid. In serious cases, the matter will be reported to law enforcement and VpsMesh will cooperate with any investigation:

| Illegal Content | Storing, processing, or distributing child sexual exploitation material (CSAM), copyright-infringing pirated content, terrorism-related content, or any content explicitly prohibited by law in the jurisdictions where VpsMesh operates. |
| Fraudulent Activities | Operating phishing websites, fraudulent trading platforms, or any activity designed to deceive third parties. |
| Platform Attacks | Attempting to attack the VpsMesh platform itself, circumvent the billing system, bypass access controls, or interfere with other users normal use. |
| Unauthorized Resale | Selling, transferring, subletting, or sharing instance access rights in any form to any third party without explicit written authorization from VpsMesh. |
Monitoring rights: VpsMesh reserves the right to monitor and analyze instance resource usage and network traffic patterns when it deems necessary, in order to identify potential violations and protect platform security and other users normal use. VpsMesh has no notification obligation with respect to such monitoring.
VpsMesh services are charged as full prepayment for the selected rental plan (daily, weekly, monthly, or quarterly), at the price displayed on the page at order confirmation. VpsMesh retains full right to unilaterally adjust pricing for all services at any time. Price adjustments take effect immediately for new orders.
Non-refundable as a rule: all service fees paid to VpsMesh are non-refundable after instance activation. At the moment of activation, the corresponding physical hardware is exclusively reserved, creating real and irrecoverable costs. Please thoroughly evaluate your actual requirements before placing an order. VpsMesh is not responsible for any losses caused by inadequate evaluation.

When outstanding fees exist on an account, VpsMesh reserves the right to: (a) immediately suspend access to all instances under the account; (b) reject all new orders; (c) after 7 calendar days of overdue payment, terminate the relevant instances and permanently and irreversibly delete all instance data without further notice; (d) refer the overdue balance to a collection agency or initiate legal proceedings. All collection fees, attorney fees, and litigation costs arising from this are borne in full by the user.
VpsMesh will use commercially reasonable efforts to maintain high service availability, but makes no express guarantees or commitments regarding any specific service availability rate, response time, or uptime.
The internal operating target of VpsMesh is to provide greater than 99% monthly availability for each normally operating instance. This target does not constitute any legal commitment to users. Any failure to meet this target does not create any right of claim for users.
VpsMesh will introduce a formal SLA compensation mechanism as the business develops, and will notify all users through platform announcements at that time, taking effect in the form of a supplementary agreement. Prior to the formal SLA release, the provisions of this section constitute the entirety of VpsMesh obligations regarding service availability.
If you encounter a service interruption that appears to be caused by a VpsMesh infrastructure issue, please submit feedback through the ticket system within 14 calendar days of the interruption (attaching the instance ID and interruption period). VpsMesh will investigate within a reasonable time, and the investigation conclusion represents the final decision of VpsMesh.
All intellectual property rights in the VpsMesh platform, management console, API, brand identifiers (VpsMesh name, trademarks, logo and any derivative marks), website design, technical documentation, pricing system, algorithms, and all content independently developed by VpsMesh are exclusively owned by VpsMesh Global or its licensors.
These Terms grant you only a limited, non-exclusive, non-transferable, non-sublicensable, and revocable usage right to access and use the corresponding instance during the rental period, and do not constitute any transfer, pledge, or license of VpsMesh intellectual property. You must not reproduce, modify, decompile, disassemble, or reverse engineer VpsMesh platform software or any VpsMesh proprietary technology in any manner.
The original intellectual property rights in User Content — such as code, data, and applications — created or stored by the user on the instance belong to the user or the user authorized parties. You grant VpsMesh a limited license necessary to provide the service, including rights to process, transmit, and store your content. VpsMesh also reserves the right to anonymize and use service operating data (excluding personally identifiable information) for system optimization and commercial analysis.
VpsMesh may use any suggestions, feedback, or improvement ideas you provide to VpsMesh for free, indefinitely, irrevocably, and without attribution for any commercial purpose, without paying you any compensation. You also may not assert any rights against VpsMesh for commercial activities conducted based on such feedback.
You bear full, independent, and non-transferable legal responsibility for all data stored, processed, and transmitted on the instance. As a pure infrastructure provider, VpsMesh does not review the content, legality, accuracy, or completeness of user data, and does not bear any data controller responsibility in connection with processing user data.
Data backup is solely and exclusively the user responsibility. VpsMesh does not provide any form of automatic data backup, snapshots, or data recovery services. VpsMesh bears no liability for data loss caused by any reason, including but not limited to:
Important reminder: please ensure that all important data on the instance is regularly and synchronously backed up to independent external storage under your control (such as S3, Backblaze B2, or local storage). VpsMesh does not provide any form of compensation or remedy for data loss that has not been self-backed up.
After an instance is terminated (for any reason), VpsMesh will perform a secure erasure of all storage contents of that instance within 24 hours. After erasure, data is permanently unrecoverable. Users must complete all necessary data migration and backup before service termination. VpsMesh bears no liability for any failure by users to back up data in time.
VpsMesh reserves the right to immediately and without prior notice suspend your account and access to all instances in the following circumstances. Fees already paid will not be refunded during the suspension period:
VpsMesh reserves the absolute right to unilaterally terminate your account and all services for any reason, at any time, without providing any explanation. In particular, when a user violates any provision of these Terms, provides false registration information, or VpsMesh makes a business decision, the account will be immediately terminated and all fees paid will be forfeited.
Termination of an account or service does not affect any provisions of these Terms that by their nature should continue to be effective, including but not limited to: Section 7 (Intellectual Property), Section 8 (Data Deletion), Section 10 (Disclaimers), Section 11 (Limitation of Liability), Section 12 (Indemnification), and Section 13 (Dispute Resolution).
Important Legal Notice: this section contains significant limitations and exclusions on the liability of VpsMesh. Please read carefully. To the maximum extent permitted by applicable law, all provisions of this section have full legal effect.
VpsMesh services are provided "AS IS" and "AS AVAILABLE", without any express or implied warranties, representations, or commitments, including but not limited to: warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, error-free, completely secure, or free of vulnerabilities.
VpsMesh expressly does not warrant: (a) that the service will meet any specific business requirements; (b) that the service will be continuously available or free from any interruption; (c) that macOS system updates will not affect your installed software or business; (d) compatibility between VpsMesh servers and any specific third-party systems; or (e) that the service is free of any security vulnerabilities.
macOS pre-installed on instances is independently developed and maintained by Apple Inc. VpsMesh bears no liability for any decisions made by Apple (including macOS updates, feature changes, security patches, or policy adjustments). For all third-party software installed by users, the user independently bears responsibility for licensing compliance, operational stability, security, and compatibility with macOS.
VpsMesh bears no liability and provides no compensation for connectivity issues caused by the user local network environment, intermediate carrier line quality, cross-border network conditions, internet infrastructure failures, or any factors beyond the reasonable control of VpsMesh.
VpsMesh expressly disclaims any liability for any losses incurred by users as a result of any business decision made based on the output, operational state, or availability of this service. Users must independently evaluate the suitability and risks of integrating VpsMesh services into their business processes.
To the maximum extent permitted by applicable law, VpsMesh, its affiliates, shareholders, directors, officers, employees, and agents shall bear no liability for any of the following losses, regardless of whether they were foreseeable or whether VpsMesh was informed of the possibility:
To the maximum extent permitted by mandatory laws in each jurisdiction, the total liability of VpsMesh for any matter under these Terms or related to the service is fully excluded, with zero compensation obligation.
Only where mandatory provisions of applicable law render the above complete exclusion unenforceable in specific circumstances, the total cumulative liability of VpsMesh shall be capped solely at the service fees actually paid by you to VpsMesh in the calendar month immediately preceding the claim event, and excludes any interest, indirect losses, fees, or additional damages.
You agree to fully and promptly indemnify, defend, and hold harmless VpsMesh, its affiliates, shareholders, directors, officers, employees, and agents from and against any and all claims, lawsuits, losses, damages, judgments, fines, administrative penalties, fees, and expenses (including reasonable attorney fees) arising out of or related to the following:
VpsMesh reserves the right to independently select defense counsel in any litigation or arbitration. Such independent defense does not affect your full indemnification obligation.
The formation, validity, interpretation, and enforcement of these Terms are governed by the laws of Singapore, without application of any conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Before initiating any formal legal proceedings, you must first send a written dispute notice to [email protected] describing the nature of the dispute, the amount at stake, and the resolution you seek. Both parties must engage in good-faith negotiation within 60 calendar days of receiving the notice. If this pre-condition is not completed before formal proceedings are initiated, VpsMesh may apply for dismissal or suspension of those proceedings, and the costs arising from the non-compliance are borne by the initiating party.
Disputes that cannot be resolved through the pre-condition negotiation shall be irrevocably submitted by both parties to the Singapore International Arbitration Centre (SIAC) for final resolution by a sole arbitrator under the SIAC Rules then in force. Seat of arbitration: Singapore; language of arbitration: English. The arbitral award is final and binding on both parties and enforceable in any court of competent jurisdiction. Arbitration costs shall be prepaid by the claimant and ultimately borne by the losing party.
You expressly and irrevocably waive the right to pursue any rights through class action, collective arbitration, or representative proceedings. You may only initiate arbitration on an individual basis for your own disputes, and may not consolidate disputes from other users. Any attempt to bring a claim in a collective form is void.
The foregoing arbitration clause does not limit the right of VpsMesh to seek a temporary restraining order, asset preservation, evidence preservation, or other equitable relief from any court of competent jurisdiction in any circumstance it deems necessary. Such applications do not constitute a waiver of the arbitration agreement.
VpsMesh reserves full right to unilaterally amend any content of these Terms at any time. Amended Terms take effect against you immediately upon publication on the platform, without requiring your consent and without separate notice. Continued use of the service after publication constitutes unconditional acceptance of all provisions in the amended Terms.
These Terms (together with all current policy documents published by VpsMesh) constitute the entire agreement between you and VpsMesh regarding use of the service, and supersede all prior oral or written agreements between the parties on the same subject matter. Any oral representations made by VpsMesh sales personnel do not constitute an amendment to or supplement of these Terms.
If any provision of these Terms is found to be invalid or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable. All remaining provisions shall continue in full effect and shall not be affected in any way.
The failure of VpsMesh to assert or enforce any provision of these Terms does not constitute a waiver of that right. Any waiver of rights by VpsMesh must be made expressly in writing to be valid. Oral waivers have no effect whatsoever.
You may not assign any rights or obligations under these Terms to any third party without prior written consent from VpsMesh. VpsMesh may freely assign all or part of its rights and obligations under these Terms to affiliates, acquirers, or asset transferees without notifying you.
VpsMesh bears no liability for any breach of contract for delayed or failed performance of any obligation under these Terms caused by events beyond its reasonable control (including but not limited to natural disasters, war, large-scale cyberattacks, government orders, supply chain disruptions, power supply interruptions, and Apple policy changes). VpsMesh is also not required to provide any compensation or refund to users as a result.
Notices from VpsMesh to you may be given by sending an email to your registered address or by posting an announcement on the platform, and shall be deemed received from the moment of sending or posting. Notices from you to VpsMesh must be sent to [email protected] and take effect only upon written acknowledgment of receipt by VpsMesh. Unacknowledged notices have no legal effect.
